ALLAREHALAL VENDOR / MERCHANT AGREEMENT
Effective Date: August 31, 2026
Last Updated: August 31, 2026
This Vendor / Merchant Agreement (the “Agreement”) is entered into between AllAreHalal, doing business as AllAreHalal (“AllAreHalal,” “Platform,” “we,” “us,” or “our”), and the individual or legal entity registering, applying for, accessing, or using the AllAreHalal Platform as a vendor, merchant, restaurant, grocery store, supermarket, retailer, food provider, or other seller (“Vendor,” “Merchant,” “you,” or “your”).
By creating or maintaining a Vendor account, clicking “I Agree,” electronically accepting this Agreement, listing any product or service on the Platform, accepting an order, or otherwise using the Platform as a Vendor, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.
If you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity.
1. ROLE OF ALLAREHALAL
AllAreHalal operates a technology-based online marketplace that enables independent Vendors to display, offer, market, and sell their products to customers.
Except where expressly stated otherwise in writing, AllAreHalal:
1. does not manufacture, prepare, process, cook, package, label, store, inspect, test, certify, own, possess, handle, or control Vendor products;
2. is not the seller, manufacturer, producer, distributor, importer, packager, restaurant, grocery store, food establishment, or supplier of Vendor products;
3. is not responsible for the condition, quality, legality, safety, authenticity, labeling, description, ingredients, allergens, nutritional information, expiration date, storage, preparation, packaging, suitability, merchantability, or fitness for any particular purpose of Vendor products;
4. does not independently verify every statement, representation, certification, license, permit, product description, photograph, ingredient list, halal claim, or other information provided by a Vendor;
5. does not guarantee the identity, reliability, quality, licensing status, financial condition, regulatory compliance, honesty, or performance of any Vendor;
6. does not guarantee the availability, condition, quality, delivery time, pickup time, or fulfillment of any order;
7. is not a delivery company, motor carrier, courier company, transportation provider, or employer of independent third-party delivery personnel where delivery is performed through an independent third-party delivery provider; and
8. merely provides technology, marketplace, payment-facilitation, order-transmission, communication, and related marketplace services.
The Vendor acknowledges and agrees that the Vendor, and not AllAreHalal, is the seller and provider of all products offered by the Vendor through the Platform.
Nothing in this Agreement creates a partnership, joint venture, franchise, fiduciary relationship, employment relationship, agency relationship, or other similar relationship between AllAreHalal and Vendor.
Vendor is an independent business and independent contracting party.
2. VENDOR RESPONSIBILITY FOR PRODUCTS
Vendor assumes sole and complete responsibility for every product that Vendor lists, offers, sells, prepares, packages, or provides through the Platform.
Vendor is solely responsible for ensuring that all products:
1. are safe for consumption or use;
2. are fresh, wholesome, merchantable, and fit for their intended purpose;
3. are not spoiled, contaminated, adulterated, damaged, defective, expired, recalled, counterfeit, mislabeled, or otherwise unsafe;
4. are properly stored and maintained at all legally required temperatures and under all required sanitary conditions;
5. are properly prepared, handled, packaged, sealed, and labeled;
6. comply with all applicable federal, state, county, municipal, and local laws, regulations, codes, ordinances, health requirements, food safety rules, consumer protection laws, labeling requirements, and industry standards;
7. do not violate intellectual property rights or other rights of any third party; and
8. match the descriptions, photographs, quantities, weights, sizes, prices, ingredients, certifications, and other representations displayed on the Platform.
Vendor shall be solely responsible for any illness, allergic reaction, injury, death, property damage, economic loss, consumer complaint, refund, investigation, regulatory action, recall, lawsuit, or other claim caused by or allegedly related to Vendor’s products or operations, except to the extent liability cannot legally be waived or allocated under applicable law.
3. FOOD SAFETY AND SANITATION
If Vendor sells food, beverages, grocery products, prepared foods, meat, poultry, seafood, dairy products, frozen products, refrigerated products, or other consumable items, Vendor is solely responsible for compliance with all applicable food safety and sanitation requirements.
Vendor shall maintain appropriate procedures relating to:
• food preparation;
• employee hygiene;
• cross-contamination prevention;
• allergen management;
• temperature control;
• refrigeration and freezing;
• hot and cold holding;
• packaging and sealing;
• food storage;
• expiration and use-by dates;
• pest control;
• cleaning and sanitation;
• recall procedures; and
• all other applicable food safety obligations.
AllAreHalal has no duty to inspect Vendor’s premises, kitchen, warehouse, equipment, employees, products, or food handling procedures.
Any inspection, verification, review, or approval conducted by AllAreHalal shall not transfer responsibility from Vendor to AllAreHalal and shall not constitute a representation or warranty that Vendor or its products comply with applicable law.
4. HALAL REPRESENTATIONS AND CERTIFICATIONS
Vendor is solely responsible for the truthfulness and accuracy of all representations that any product, ingredient, facility, preparation method, supplier, process, or business practice is “Halal,” “Halal Certified,” “Zabiha,” “Zabihah,” or otherwise compliant with Islamic dietary or religious requirements.
Vendor shall not make any false, deceptive, misleading, unsupported, or unauthorized halal claim.
Where Vendor represents that a product or business is certified by a third-party halal certification organization, Vendor represents and warrants that:
1. the certification is genuine and valid;
2. the certification has not expired, been suspended, or been revoked;
3. the certification applies to the specific products, locations, operations, and activities for which Vendor uses the certification;
4. Vendor has permission to display any certification mark or logo; and
5. Vendor will immediately notify AllAreHalal if the certification expires, changes, is suspended, is revoked, or is otherwise no longer valid.
Unless AllAreHalal expressly states in writing that AllAreHalal itself independently certifies a specific Vendor or product, AllAreHalal does not independently certify products as halal.
Any “Halal,” “Halal Certified,” “Verified,” or similar designation displayed through the Platform may be based wholly or partly on information or documentation provided by Vendor or a third party.
Vendor remains solely responsible for the accuracy of such representations.
Vendor shall defend, indemnify, and hold harmless AllAreHalal from claims arising from inaccurate, false, misleading, expired, invalid, or unauthorized halal representations made by Vendor.
5. ALLERGENS, INGREDIENTS, AND DIETARY INFORMATION
Vendor is solely responsible for accurately identifying and disclosing all ingredients and legally required allergen information relating to Vendor products.
Vendor acknowledges that customers may have severe or life-threatening allergies.
Vendor shall comply with all applicable laws concerning allergen disclosure and shall implement reasonable procedures to prevent cross-contact and cross-contamination.
AllAreHalal does not guarantee that any product is free from allergens, including but not limited to milk, eggs, fish, shellfish, tree nuts, peanuts, wheat, soy, sesame, or any other allergen.
Vendor shall be solely responsible for claims arising from ingredients, allergens, undeclared allergens, cross-contamination, cross-contact, dietary representations, or related matters attributable to Vendor products or operations.
6. LICENSES, PERMITS, AND LEGAL COMPLIANCE
Vendor represents and warrants that it possesses and will continuously maintain all licenses, permits, registrations, certificates, approvals, inspections, and authorizations required to operate its business and sell its products.
These may include, where applicable:
• business licenses;
• health department permits;
• food establishment permits;
• food handler certifications;
• seller permits;
• sales tax registrations;
• alcohol licenses;
• tobacco licenses;
• pharmacy or regulated-product licenses;
• halal certifications;
• agricultural permits;
• weights and measures compliance;
• insurance coverage; and
• any other legally required authorization.
Vendor shall immediately notify AllAreHalal if any material license, permit, approval, or certification is denied, suspended, expired, revoked, or otherwise restricted.
AllAreHalal may request documentation at any time.
AllAreHalal’s decision to approve or continue a Vendor account does not constitute confirmation that Vendor satisfies all legal requirements.
Vendor remains solely responsible for determining and maintaining its compliance with applicable law.
7. VENDOR INFORMATION AND PRODUCT LISTINGS
Vendor is solely responsible for all information submitted to or displayed through the Platform relating to Vendor.
Vendor shall ensure that all information is accurate, complete, current, and not misleading, including:
• business name;
• business address;
• contact information;
• operating hours;
• product availability;
• product descriptions;
• photographs;
• prices;
• ingredients;
• weights and quantities;
• nutritional information;
• allergen information;
• dietary claims;
• halal claims;
• certifications;
• preparation times;
• pickup information; and
• other product or business information.
Vendor shall promptly update inaccurate or outdated information.
AllAreHalal may, but is not obligated to, modify formatting, correct obvious errors, remove content, suspend listings, or request additional information.
AllAreHalal assumes no responsibility for errors supplied by Vendor.
8. PRICING
Vendor is solely responsible for establishing the lawful prices of its products unless otherwise expressly agreed in writing.
Vendor represents that all prices and fees submitted to AllAreHalal comply with applicable law.
Vendor shall be responsible for honoring prices displayed as required by applicable law and for resolving pricing errors attributable to Vendor.
AllAreHalal may charge customers separate Platform, service, delivery, processing, regulatory, small-order, or other fees as permitted by applicable law.
Such fees are separate from Vendor’s product price unless expressly stated otherwise.
9. ORDERS AND ORDER FULFILLMENT
Vendor is responsible for promptly reviewing, accepting, rejecting, preparing, and fulfilling orders transmitted through the Platform.
Vendor shall:
1. monitor incoming orders;
2. promptly accept or reject orders;
3. prepare accepted orders accurately;
4. ensure the correct items and quantities are provided;
5. use appropriate packaging;
6. seal orders when appropriate;
7. have orders ready within the applicable preparation window;
8. provide the correct order to the correct customer or delivery provider;
9. promptly report unavailable items;
10. not substitute products without authorization where authorization is legally or contractually required; and
11. cooperate in resolving customer complaints and order issues.
Vendor is responsible for losses resulting from Vendor’s failure to properly fulfill an order, including missing items, incorrect items, damaged products, expired products, improperly prepared products, unauthorized substitutions, or unreasonable preparation delays.
10. THIRD-PARTY DELIVERY SERVICES
Orders placed through AllAreHalal may be delivered by independent third-party delivery service providers, which may include, without limitation, Uber Direct, DoorDash, or other independent delivery providers selected or integrated by AllAreHalal.
Vendor acknowledges and agrees that these third-party delivery providers are independent entities and are not employees, agents, partners, or joint venturers of AllAreHalal.
Except to the extent required by applicable law, AllAreHalal does not control and shall not be responsible for:
• the acts or omissions of third-party delivery providers;
• individual couriers or drivers;
• driver conduct;
• vehicle condition;
• traffic accidents;
• personal injury caused during transportation;
• property damage;
• theft occurring during delivery;
• delivery delays;
• traffic conditions;
• route selection;
• weather conditions;
• inability to locate a customer;
• missed deliveries;
• failed deliveries;
• delivery to an incorrect address;
• customer unavailability;
• courier availability;
• transportation interruptions; or
• other events occurring after an order is transferred to an independent delivery provider.
Vendor acknowledges that use of third-party delivery services may also be subject to separate terms and conditions imposed by the applicable delivery service provider.
Nothing in this Agreement makes AllAreHalal responsible for obligations that belong to an independent third-party delivery service provider.
11. TRANSFER OF ORDERS TO DELIVERY PROVIDERS
Vendor is responsible for ensuring that each order is correctly prepared, packaged, sealed, and ready for transfer to the applicable delivery provider.
Vendor shall verify, to the extent reasonably possible, that the correct order is transferred for delivery.
Vendor is responsible for any defect, contamination, spoilage, incorrect item, missing item, improper packaging, inadequate temperature at the time of pickup, or other condition existing before or at the time the order is transferred to the delivery provider.
The parties acknowledge that responsibility for events occurring during delivery may depend on the applicable circumstances, third-party provider terms, and applicable law.
AllAreHalal does not guarantee that Uber Direct, DoorDash, or any other delivery provider will accept, complete, or successfully deliver any particular delivery request.
12. DELIVERY DELAYS AND PRODUCT CONDITION
Vendor shall package products in a manner reasonably appropriate for the anticipated delivery process.
Vendor acknowledges that delivery times are estimates and may be affected by circumstances outside AllAreHalal’s control.
AllAreHalal does not warrant or guarantee any specific delivery time.
To the maximum extent permitted by law, AllAreHalal shall not be liable for deterioration, temperature changes, loss of freshness, melting, cooling, warming, spillage, breakage, or other changes in product condition occurring as a result of reasonable transportation time or circumstances outside AllAreHalal’s direct control.
This Section does not relieve Vendor from responsibility for improper preparation, packaging, storage, temperature control, or handling occurring before transfer of an order for delivery.
13. CUSTOMER COMPLAINTS, REFUNDS, CREDITS, AND CHARGEBACKS
AllAreHalal may, in its discretion and subject to applicable policies, issue or facilitate refunds, partial refunds, credits, adjustments, promotional credits, or other remedies to customers.
Where a refund, credit, adjustment, chargeback, or similar loss results from or relates to Vendor’s acts or omissions, AllAreHalal may deduct the applicable amount from:
• current amounts owed to Vendor;
• future Vendor payouts;
• Vendor settlement balances; or
• any other amounts payable to Vendor.
This may include situations involving:
• missing items;
• incorrect items;
• spoiled products;
• damaged products;
• expired products;
• unsafe products;
• food quality complaints reasonably attributable to Vendor;
• inaccurate descriptions;
• unavailable products;
• Vendor cancellations;
• unreasonable Vendor delays;
• unauthorized substitutions;
• fraudulent conduct;
• customer chargebacks attributable to Vendor; or
• violations of this Agreement.
AllAreHalal may investigate complaints but is not required to independently verify every customer allegation before taking temporary protective measures.
Vendor shall reasonably cooperate with investigations and provide requested documentation.
14. PAYMENTS, COMMISSIONS, FEES, AND SETTLEMENTS
AllAreHalal may collect payments from customers in connection with orders placed through the Platform.
Vendor authorizes AllAreHalal and its payment service providers to receive and process such payments in connection with Marketplace transactions.
AllAreHalal may deduct applicable amounts before remitting Vendor proceeds, including:
• Platform commissions;
• transaction fees;
• payment processing fees;
• delivery charges allocated to Vendor;
• refunds;
• chargebacks;
• credits;
• promotional contributions;
• taxes required to be withheld;
• penalties or adjustments permitted under this Agreement;
• amounts owed by Vendor to AllAreHalal; and
• other agreed charges.
Vendor payouts may be subject to a settlement or holding period established by AllAreHalal.
AllAreHalal may delay or withhold payments where reasonably necessary to investigate suspected fraud, chargebacks, customer disputes, legal requirements, regulatory issues, account security concerns, violations of this Agreement, or anticipated liabilities attributable to Vendor.
Vendor is responsible for reviewing Vendor statements and reporting suspected errors within fourteen (14) days after the applicable transaction or statement becomes available. Failure to timely report an alleged error may constitute acceptance of the applicable statement to the maximum extent permitted by law.
15. PAYMENT PROCESSORS
Payment processing may be provided by independent third-party payment processors, including Stripe or other providers.
Vendor’s use of payment services may be subject to the applicable payment processor’s separate terms.
AllAreHalal is not a bank and does not provide banking services.
To the maximum extent permitted by law, AllAreHalal shall not be responsible for disruptions, holds, freezes, account restrictions, processing failures, or other actions independently taken by a third-party payment processor.
16. TAXES
Vendor is solely responsible for identifying, calculating, reporting, collecting, and remitting all taxes for which Vendor is legally responsible, except where applicable law expressly requires AllAreHalal to collect or remit a tax as a marketplace facilitator or under another legal requirement.
Vendor remains responsible for its own:
• income taxes;
• payroll taxes;
• employment taxes;
• business taxes;
• licensing fees; and
• other taxes or government charges relating to Vendor’s business.
AllAreHalal does not provide tax advice to Vendor.
17. VENDOR PERSONNEL
Vendor is exclusively responsible for Vendor’s owners, employees, contractors, agents, kitchen staff, store personnel, and other representatives.
Vendor is solely responsible for:
• hiring;
• supervision;
• training;
• compensation;
• payroll;
• taxes;
• benefits;
• workers’ compensation;
• employment law compliance; and
• workplace safety.
No Vendor personnel shall be considered employees or agents of AllAreHalal.
18. INSURANCE
Vendor shall maintain all insurance required by applicable law.
Where commercially reasonable or required by AllAreHalal, Vendor shall maintain appropriate insurance coverage for its operations, which may include:
• commercial general liability insurance;
• product liability insurance;
• food contamination liability coverage;
• property insurance;
• workers’ compensation insurance;
• employer liability insurance;
• cyber liability coverage; and
• commercial automobile insurance where applicable.
AllAreHalal may require Vendor to provide certificates of insurance or other evidence of coverage.
Any insurance requirement imposed by AllAreHalal does not limit Vendor’s liability under this Agreement.
19. PRODUCT RECALLS AND SAFETY INCIDENTS
Vendor shall immediately notify AllAreHalal of:
• any product recall;
• suspected contamination;
• foodborne illness allegation involving Vendor;
• regulatory investigation;
• health department closure;
• suspension of a license;
• material food safety incident;
• material allergen incident;
• product seizure;
• government warning;
• significant customer safety complaint; or
• other event that could materially affect customer safety.
Vendor is solely responsible for conducting legally required product recalls relating to Vendor products.
AllAreHalal may immediately suspend or remove affected products or Vendor accounts without prior notice where AllAreHalal reasonably believes customer safety may be at risk.
20. VENDOR CONTENT AND INTELLECTUAL PROPERTY
Vendor grants AllAreHalal a non-exclusive, worldwide, royalty-free, sublicensable license during the term of Vendor’s participation on the Platform to use, reproduce, modify, adapt, display, distribute, and promote Vendor-provided names, trademarks, logos, product images, descriptions, menus, and related content for purposes of operating, marketing, and promoting the Platform and Vendor’s products.
Vendor represents and warrants that Vendor has all rights necessary to provide such content and grant this license.
Vendor shall indemnify AllAreHalal against claims that Vendor-provided content infringes the intellectual property or other rights of a third party.
21. FRAUD AND PROHIBITED CONDUCT
Vendor shall not:
1. engage in fraud or deceptive practices;
2. submit false information or documents;
3. impersonate another person or business;
4. manipulate orders, transactions, reviews, promotions, refunds, or payments;
5. create artificial transactions;
6. misuse customer information;
7. sell illegal, prohibited, recalled, counterfeit, stolen, unsafe, or unauthorized products;
8. interfere with the Platform;
9. introduce malware or harmful code;
10. circumvent Platform fees or payment systems where prohibited by applicable policies;
11. misuse promotions;
12. engage in discriminatory conduct prohibited by law; or
13. use the Platform for any unlawful purpose.
AllAreHalal may suspend or terminate Vendor immediately where fraud, safety risks, unlawful conduct, or material violations are suspected.
22. CUSTOMER INFORMATION AND PRIVACY
Vendor may receive limited customer information solely for purposes of fulfilling transactions and providing permitted customer service.
Vendor shall:
1. use customer information only for legitimate transaction-related purposes;
2. comply with applicable privacy and data protection laws;
3. implement reasonable administrative, technical, and physical safeguards;
4. not sell customer personal information except as expressly permitted by applicable law and Platform policies;
5. not use customer information for unauthorized marketing;
6. not disclose customer information to unauthorized third parties; and
7. promptly notify AllAreHalal of suspected unauthorized access or data breaches involving Platform customer information.
Vendor shall be responsible for violations resulting from Vendor’s misuse or unauthorized disclosure of customer information.
23. INDEMNIFICATION
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VENDOR SHALL DEFEND, INDEMNIFY, AND HOLD HARMLESS ALLAREHALAL, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OWNERS, MEMBERS, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “ALLAREHALAL INDEMNIFIED PARTIES”) FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, PROCEEDINGS, INVESTIGATIONS, LIABILITIES, DAMAGES, LOSSES, JUDGMENTS, SETTLEMENTS, FINES, PENALTIES, COSTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS’ FEES, ARISING OUT OF OR RELATING TO:
1. Vendor’s products;
2. illness, injury, death, allergic reaction, contamination, poisoning, or other harm allegedly caused by Vendor products;
3. spoiled, defective, expired, unsafe, adulterated, mislabeled, or recalled products;
4. Vendor’s preparation, handling, packaging, storage, labeling, or fulfillment of products;
5. Vendor’s violation of applicable law;

14. Vendor’s breach of this Agreement;
15. taxes for which Vendor is legally responsible;
16. customer disputes attributable to Vendor;
17. Vendor’s misuse of customer data; or
18. any act or omission by Vendor relating to an order or transaction.
Vendor’s indemnification obligation shall apply regardless of whether the relevant claim is made directly against Vendor, AllAreHalal, or both, except to the extent prohibited by applicable law or finally determined to have resulted solely from the gross negligence or willful misconduct of an AllAreHalal Indemnified Party where such liability cannot legally be disclaimed.
24. THIRD-PARTY DELIVERY PROVIDER CLAIMS
To the maximum extent permitted by law, AllAreHalal shall not be required to indemnify Vendor for acts or omissions of Uber, DoorDash, independent couriers, or other third-party delivery service providers.
Claims arising solely from the conduct of a third-party delivery provider shall be governed by applicable law and, where applicable, the terms governing that third-party service.
Vendor agrees to reasonably cooperate with AllAreHalal and applicable delivery providers in investigating delivery-related incidents.
Nothing in this Agreement shall be interpreted as AllAreHalal assuming responsibility for independent third-party delivery providers merely because AllAreHalal technologically facilitates or requests delivery services.
25. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ALLAREHALAL PLATFORM AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ALLAREHALAL DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
ALLAREHALAL DOES NOT WARRANT THAT:
• THE PLATFORM WILL BE UNINTERRUPTED;
• THE PLATFORM WILL BE ERROR-FREE;
• ORDERS WILL BE AVAILABLE;
• VENDOR WILL RECEIVE ANY MINIMUM NUMBER OF ORDERS;
• VENDOR WILL RECEIVE ANY MINIMUM REVENUE;
• CUSTOMERS WILL COMPLETE TRANSACTIONS;
• DELIVERY SERVICES WILL ALWAYS BE AVAILABLE;
• THIRD-PARTY SERVICES WILL FUNCTION WITHOUT INTERRUPTION;
• INFORMATION PROVIDED BY CUSTOMERS OR THIRD PARTIES WILL BE ACCURATE; OR
• THE PLATFORM WILL MEET VENDOR’S BUSINESS EXPECTATIONS.
26. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLAREHALAL AND THE ALLAREHALAL INDEMNIFIED PARTIES SHALL NOT BE LIABLE TO VENDOR FOR ANY:
• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• SPECIAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• EXEMPLARY DAMAGES;
• PUNITIVE DAMAGES;
• LOST PROFITS;
• LOST REVENUE;
• LOST BUSINESS;
• LOSS OF GOODWILL;
• LOSS OF DATA;
• BUSINESS INTERRUPTION; OR
• OTHER SIMILAR LOSSES,
EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF ALLAREHALAL ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE LESSER OF:
1. THE TOTAL COMMISSIONS ACTUALLY PAID TO AND RETAINED BY ALLAREHALAL FROM VENDOR DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE THOUSAND U.S. DOLLARS ($1,000).
THE LIMITATIONS IN THIS SECTION SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW REGARDLESS OF THE FORM OF ACTION.
27. NO GUARANTEE REGARDING CUSTOMERS OR TRANSACTIONS
AllAreHalal does not guarantee the identity, honesty, behavior, creditworthiness, or intentions of any customer.
Vendor assumes the ordinary commercial risks associated with selling products to customers through an online marketplace.
AllAreHalal may maintain fraud prevention procedures but does not guarantee that fraud, unauthorized payments, chargebacks, account misuse, or other misconduct will never occur.
28. PLATFORM MODIFICATIONS
AllAreHalal may modify, update, suspend, discontinue, or change any feature of the Platform at any time, subject to applicable law.
AllAreHalal may modify fees, commissions, settlement schedules, technical requirements, Vendor policies, and operating procedures by providing notice as required by applicable law or the applicable agreement between the parties.
Vendor’s continued use of the Platform after an effective modification constitutes acceptance where permitted by applicable law.
29. ACCOUNT SUSPENSION AND TERMINATION
AllAreHalal may suspend, restrict, deactivate, or terminate Vendor’s access to the Platform where AllAreHalal reasonably determines that:
• Vendor violated this Agreement;
• Vendor violated applicable law;
• Vendor presents a health or safety risk;
• Vendor engaged in suspected fraud;
• Vendor provided false information;
• Vendor has excessive complaints, refunds, cancellations, or chargebacks;
• Vendor’s license or permit is invalid;
• Vendor’s products may be unsafe;
• Vendor’s continued participation may expose AllAreHalal or customers to material legal, financial, reputational, or operational risk; or
• suspension or termination is otherwise reasonably necessary to protect the Platform.
AllAreHalal may immediately remove product listings where customer health or safety may be at risk.
Termination does not eliminate Vendor’s obligations arising before termination, including payment, indemnification, refund, chargeback, tax, confidentiality, or liability obligations.
30. RECORDS AND AUDIT COOPERATION
Vendor shall maintain records reasonably necessary to demonstrate compliance with this Agreement and applicable law.
Where reasonably necessary to investigate safety, fraud, regulatory, customer, or compliance concerns, Vendor shall provide relevant records requested by AllAreHalal, subject to applicable law.

32. DISPUTE RESOLUTION AND ARBITRATION
IMPORTANT: THIS SECTION AFFECTS LEGAL RIGHTS.
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to this Agreement, Vendor’s use of the Platform, or the relationship between Vendor and AllAreHalal shall be resolved by binding individual arbitration rather than in court.
The arbitration shall be administered by JAMS under its applicable commercial arbitration rules.
The arbitration shall take place in Fairfax County, Virginia, unless the parties agree otherwise or applicable law requires another location.
The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision where applicable.
The parties waive the right to a jury trial to the maximum extent permitted by law.
Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction when necessary to prevent immediate and irreparable harm.
33. CLASS ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDOR AND ALLAREHALAL AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE ACTION.
This waiver shall be enforced only to the extent permitted by applicable law.
34. GOVERNING LAW
Except to the extent superseded by applicable federal law, this Agreement shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
For any dispute not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia, to the extent permitted by applicable law.
35. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
Vendor consents to electronic communications relating to this Agreement and Vendor’s use of the Platform.
Electronic acceptance of this Agreement shall have the same legal effect as a handwritten signature to the maximum extent permitted by applicable law.
AllAreHalal may maintain records relating to Vendor’s acceptance, including:
• Vendor identification;
• Agreement version;
• acceptance date and time;
• IP address;
• account identifier; and
• other reasonable audit information.
36. CHANGES TO THIS AGREEMENT
AllAreHalal may update this Agreement from time to time.
Where required by applicable law, AllAreHalal will provide notice of material changes.
The updated Agreement shall become effective on the date specified in the updated version.
Vendor’s continued use of the Platform after the effective date of an updated Agreement constitutes acceptance to the extent permitted by applicable law.
AllAreHalal may require Vendor to affirmatively accept material amendments before continuing to use Vendor services.
37. ASSIGNMENT
Vendor may not assign or transfer this Agreement or Vendor’s rights or obligations without prior written consent from AllAreHalal.
AllAreHalal may assign this Agreement in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or transfer to an affiliate or successor, subject to applicable law.
38. SEVERABILITY
If any provision of this Agreement is determined to be unlawful, invalid, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable where legally permissible.
If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
39. NO WAIVER
Failure by AllAreHalal to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
Any waiver must be expressly made in writing by an authorized representative of AllAreHalal.
40. SURVIVAL
Provisions that by their nature should survive termination shall survive, including provisions relating to:
• payments;
• refunds;
• chargebacks;
• taxes;
• confidentiality;
• intellectual property;
• indemnification;
• limitation of liability;
• dispute resolution;
• arbitration;
• governing law; and
• obligations arising before termination.
41. ENTIRE AGREEMENT
This Agreement, together with any applicable Vendor fee schedule, policies, addenda, privacy terms, and other documents expressly incorporated by reference, constitutes the entire agreement between Vendor and AllAreHalal regarding Vendor’s use of the Platform.
In the event of a conflict between this Agreement and a separately executed written agreement signed by an authorized representative of AllAreHalal, the separately executed agreement shall control solely to the extent of the conflict.
42. THIRD-PARTY SERVICES
The Platform may integrate or interact with services operated by third parties, including:
• payment processors;
• Uber Direct;
• DoorDash;
• mapping providers;
• cloud service providers;
• identity verification providers;
• communication providers; and
• other technology providers.
Such third parties are separate legal entities.
AllAreHalal does not control and is not responsible for third-party services, their availability, their personnel, or their independent acts or omissions.
Vendor may be required to comply with separate third-party terms when using such services.
43. NO THIRD-PARTY BENEFICIARIES
Except for the AllAreHalal Indemnified Parties expressly protected under this Agreement, this Agreement does not create enforceable rights in any third party unless expressly stated otherwise.
44. VENDOR ACKNOWLEDGMENT
BY ACCEPTING THIS AGREEMENT, VENDOR ACKNOWLEDGES AND AGREES THAT:
1. VENDOR IS AN INDEPENDENT BUSINESS;
